Terms of Service

1. Acceptance of Terms

By accessing or using SpiritPay (the "App") or the TownSpirit website (collectively, the "Services"), you agree to be bound by these Terms of Service. The Services are operated by Skybound Solutions, LLC ("we", "us", "our"), a Michigan LLC (EIN: 92-3027901).

2. Description of Service

SpiritPay is a point-of-sale application that enables community organizations (booster clubs, concession stands, fundraisers) to accept card payments and manage sales. We act as a technology platform — we do not process payments directly. All payment processing is handled by Stripe, Inc.

3. Eligibility

  • You must be at least 18 years old to create an organization account
  • You must be authorized to act on behalf of the organization you register
  • You must provide accurate and complete information during registration
  • You must comply with all applicable laws and regulations

4. Accounts and Organizations

Each organization on SpiritPay is managed by one or more administrators. You are responsible for maintaining the security of your account credentials and for all activity under your account. You must notify us immediately of any unauthorized access.

5. Payment Processing and Fees

SpiritPay uses Stripe Connect to process payments on behalf of your organization. A SpiritPay Service Fee (5% + $0.05 per transaction) is added to the customer's total at checkout — your organization receives 100% of your listed prices.

  • Fee structure: 2.7% + 5¢ (Stripe card processing) + 2.3% (SpiritPay platform service) = 5% + 5¢ total, charged to the customer
  • Your proceeds: Your listed prices are exactly what your organization receives. Example: a $10.00 item costs the customer $10.58 — your organization receives the full $10.00.
  • Deposits: Funds are deposited to your linked bank account per Stripe's standard payout schedule (typically 2 business days)
  • Stripe Terms: By using SpiritPay, you also agree to the Stripe Connected Account Agreement

Compliance & Account Verification. As a Stripe Connect platform, Skybound Solutions is responsible for ongoing seller compliance on behalf of connected organizations. This means:

  • Risk notifications: If Stripe places your account under review, restricts payouts, or requires action due to fraud or risk concerns, we will notify your organization's administrator via email. You must respond promptly to any such communication.
  • Verification requests: Stripe may periodically require additional identity or business verification (e.g., proof of business, beneficial owner information). We will provide a secure, Stripe-hosted link to complete this process. Failure to complete verification may result in your account's ability to accept payments or receive payouts being restricted.
  • Your obligation: You agree to keep your contact information current and to respond to compliance or verification requests within the timeframe specified in our notice.

6. Refunds and Disputes

Organization administrators are responsible for managing refunds and customer disputes. Refunds are processed through the Stripe Dashboard or via your organization's SpiritPay settings. We are not responsible for chargebacks initiated by cardholders, though we will assist in resolving disputes when possible.

7. Acceptable Use

You may not use SpiritPay for:

  • Any illegal activity or sale of prohibited goods
  • Fraud, money laundering, or terrorist financing
  • Any purpose that violates Stripe's Restricted Businesses policy

Merchant compliance responsibility. By using SpiritPay, you agree to comply with all applicable federal, state, and local laws governing the products and services you sell, including but not limited to age verification requirements for age-restricted products (e.g., alcohol, tobacco). SpiritPay is a technology platform and is not responsible for monitoring, enforcing, or verifying compliance with product-specific legal requirements at your point of sale. You assume sole responsibility for ensuring that your sales activity complies with applicable law.

8. Data and Privacy

Your use of the Services is also governed by our Privacy Policy. Transaction data is stored in Google Firebase and is only accessible to authorized members of your organization.

Data breach notification. In the event of a data breach affecting your personal information, we will notify affected organization administrators within a reasonable time as required by applicable law, including the Michigan Identity Theft Protection Act.

9. Intellectual Property

SpiritPay, TownSpirit, and all associated branding are the property of Skybound Solutions, LLC. You retain ownership of your organization's content (menus, product images, branding). By using the Services, you grant us a limited license to display your content within the platform.

10. Limitation of Liability

SpiritPay is provided "as is" without warranty of any kind. We are not liable for any damages arising from your use of the Services, including but not limited to lost revenue, data loss, or service interruptions. Our total liability shall not exceed the fees you have paid us in the 12 months preceding the claim.

11. Termination

We may suspend or terminate your access to the Services at any time for violation of these Terms. You may delete your organization and account at any time from within the App. Upon termination, Stripe will process any remaining payouts per their standard schedule.

12. Changes to Terms

We may update these Terms from time to time. Material changes will be communicated via email to organization administrators. Continued use after changes constitutes acceptance.

13. Governing Law

These Terms are governed by the laws of the State of Michigan, without regard to its conflict of law provisions. Any disputes shall be resolved in the state or federal courts located in Sanilac County, Michigan.
